(the “Company”) with the Securities and Exchange Commission on May 22, 2020 (the “Original Form 8-K”). Amendment No. 1 updates “Item 5.07 Submission of Matters to a Vote of Security Holders” in the Original Form 8-K to disclose the decision of the Board of Directors (the “Board”) regarding how frequently the Company will conduct a non-binding advisory vote on named executive officer compensation. No other changes have been made to the Original Form 8-K. Item 5.07 Submission of Matters to a Vote of Security Holders At the Company’s 2020 Annual Meeting of Stockholders (the “Annual Meeting”) held on May 20, 2020, a non-binding, advisory vote was conducted concerning the frequency of future non-binding advisory votes regarding the Company’s named executive officer compensation. In the Company’s proxy statement furnished to stockholders in connection with the Annual Meeting, its Board of Directors recommended a vote for every year. At the Annual Meeting, a majority of votes properly cast on the matter were cast in favor of holding future non-binding advisory votes on named executive officer compensation every year.
